Terms of Service - SHBE Strategist™

1. Acceptance of Terms

By accessing or using SHBE Strategist™ (“the Strategist,” “the Service,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Service.

These Terms apply to all users, including trial users, paying subscribers, Founding Members, and future tiers.

2. What the Strategist Is (and Is Not)

SHBE Strategist is a decision-support and execution-assistance platform designed to help users plan, evaluate, and execute business-related actions using structured workflows.

The Strategist is not legal, financial, tax, investment, or medical advice. You acknowledge that all outputs are informational only and do not replace professional judgment.

3. User Control, Approval, and Two-Step Execution

All actions within SHBE Strategist require explicit user authorization. Plans are generated for review only. No execution occurs without affirmative approval by the user.

The two-step Plan → Approve → Execute model exists to prevent accidental actions, preserve user agency, and ensure deliberate intent. By approving an action, you accept responsibility for its direction and consequences.

4. User Responsibility and Assumption of Risk

You are solely responsible for all decisions, actions, and outcomes that result from your use of the Service. You agree to comply with all applicable laws, platform rules, and third-party terms.

Use of the Strategist is at your own risk, and you assume full responsibility for all decisions and outcomes.

5. Intellectual Property and Use Restrictions

All systems, workflows, frameworks, terminology, copy, and outputs generated by SHBE Strategist are protected intellectual property.

You may use outputs for your own personal or business use. You may not share, resell, publish, distribute, reverse-engineer, or train competing systems using the Strategist or its outputs.

6. Competitive Intelligence and “Weapons”

Certain tools, including but not limited to competitor audits, analysis frameworks, and strategic modeling (“Weapons”), are provided for lawful competitive research only.

You agree not to use these tools for harassment, deception, impersonation, unlawful surveillance, or any activity that violates applicable laws or platform policies.

7. Confidentiality and Non-Sharing

Strategist outputs, methodologies, and internal logic are confidential. You agree not to share, leak, publish, or distribute Strategist content outside your authorized use.

8. Limitation of Liability

To the maximum extent permitted by California law, SHBE Strategist and its operators shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Total liability shall not exceed the amount paid by you to the Service in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless SHBE Strategist from any claims, damages, losses, liabilities, legal fees, and expenses arising from your use of the Service or violation of these Terms.

10. Governing Law and Venue

These Terms are governed by the laws of the State of California. Any legal action must be brought exclusively in courts located within California.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Account Access and Termination

We reserve the right to suspend or terminate access to the Service at any time, with or without notice, for violations of these Terms or misuse of the platform.

We also reserve the right to restrict, modify, or discontinue features at our discretion.

13. Service Availability and No Warranty

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.

We do not guarantee that the Service will be uninterrupted, error-free, or free from delays.

14. Pricing and Subscriptions

Pricing, features, and subscription tiers may change over time. By subscribing to paid plans, you agree to recurring billing terms disclosed at the time of purchase.

You may cancel subscriptions at any time in accordance with the platform’s cancellation process.
