Terms of Service - SHBE Strategist™

1. Acceptance of Terms

By accessing or using SHBE Strategist™ (“the Strategist,” “the Service,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Service.

These Terms apply to all users, including trial users, paying subscribers, Founding Operators, Founders Access members, and future tiers.

2. What the Strategist Is

SHBE Strategist™ is a decision-support and execution-assistance platform designed to help users plan, evaluate, and execute business-related actions using structured workflows.

The Service may provide business planning support, strategic prompts, task recommendations, execution plans, summaries, reminders, reflections, and other educational guidance intended to help users organize and act on their goals.

3. What the Strategist Is Not

The Strategist is not legal, financial, tax, investment, medical, accounting, insurance, employment, or professional advice. All outputs are informational and educational only.

You are responsible for consulting qualified professionals before making decisions that may affect your legal, financial, tax, health, employment, or business obligations.

4. No Income Guarantees

SHBE Strategist™ does not guarantee revenue, profit, business growth, customer acquisition, funding, audience growth, performance improvement, or any specific outcome.

Results depend on many factors, including market conditions, execution quality, experience, timing, available resources, business model, competition, and individual circumstances.

Examples, demonstrations, projections, screenshots, testimonials, or case studies are for illustrative purposes only and should not be interpreted as guarantees of future performance.

5. AI-Generated Content

Certain recommendations, plans, summaries, reflections, prompts, and strategic suggestions may be generated with the assistance of artificial intelligence.

AI-generated content may be incomplete, inaccurate, outdated, or inappropriate for your specific circumstances. You are responsible for reviewing, evaluating, validating, and deciding whether to act on any output.

The Strategist is designed to support human judgment, not replace it. The user remains the operator responsible for final decisions and execution.

6. User Control, Approval, and Execution

Plans and recommendations are generated for review only. No user-facing execution should occur without affirmative approval by the user.

The Plan → Approve → Execute model exists to prevent accidental actions, preserve user agency, and ensure deliberate intent. By approving an action, you accept responsibility for its direction, use, and consequences.

You agree not to rely on the Service as an autopilot for business, financial, legal, or operational decisions.

7. User Responsibility and Assumption of Risk

You are solely responsible for all decisions, actions, communications, purchases, business activities, and outcomes that result from your use of the Service.

You agree to comply with all applicable laws, regulations, platform rules, third-party terms, advertising policies, intellectual property rights, privacy requirements, and industry standards.

Use of the Strategist is at your own risk, and you assume full responsibility for all decisions and outcomes.

8. Accounts, Access, and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to share account access, bypass security controls, interfere with the Service, or use another person’s account without permission.

We may suspend or terminate access if we believe your account has been misused, compromised, or used in violation of these Terms.

9. Intellectual Property and Use Restrictions

All systems, workflows, frameworks, terminology, software, branding, designs, platform content, and proprietary methods associated with SHBE Strategist™ are protected intellectual property.

You may use outputs generated through the Service for your own personal or business operations, subject to these Terms.

You may not copy, resell, redistribute, sublicense, publish, reverse-engineer, scrape, harvest, reproduce, or commercially exploit the Service, its proprietary frameworks, internal logic, system content, or protected materials.

You may not use the Service or its outputs to train, improve, benchmark, or develop competing artificial intelligence systems, automation tools, business-planning platforms, or execution-assistance products.

10. Competitive Intelligence and “Weapons”

Certain tools, including but not limited to competitor audits, offer analysis, audience research, strategic modeling, and related frameworks (“Weapons”), are provided for lawful competitive research only.

You agree not to use these tools for harassment, deception, impersonation, unlawful surveillance, scraping in violation of third-party terms, intellectual property infringement, privacy violations, or any activity that violates applicable laws, regulations, or platform policies.

11. Acceptable Use

You agree not to use the Service to create, support, encourage, or facilitate unlawful, deceptive, abusive, harmful, infringing, or exploitative activity.

Prohibited uses include fraud, spam, impersonation, harassment, unlawful surveillance, malware, credential theft, intellectual property infringement, privacy violations, or attempts to bypass platform rules or security controls.

12. User Content and Business Information

You may provide business details, goals, notes, reflections, execution history, documents, or other information to the Service (“User Content”).

You retain responsibility for the accuracy, legality, and ownership of any User Content you provide.

By submitting User Content, you grant us the limited right to process, store, analyze, and use that content as needed to provide, maintain, secure, and improve the Service, subject to our Privacy Policy.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that your information may be processed as described in the Privacy Policy.

14. Pricing, Subscriptions, and Cancellations

Pricing, features, usage limits, access levels, and subscription tiers may change over time. By subscribing to a paid plan, you agree to the recurring billing terms disclosed at the time of purchase.

You may cancel subscriptions in accordance with the platform’s cancellation process. Access may continue until the end of the applicable billing period unless otherwise stated at the time of purchase.

We reserve the right to correct pricing errors, modify offers, change feature availability, or discontinue plans, subject to applicable law.

15. Service Availability and No Warranty

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.

We do not guarantee that the Service will be uninterrupted, error-free, secure, accurate, complete, or free from delays, data loss, model errors, outages, or third-party service failures.

16. Account Access, Suspension, and Termination

We reserve the right to suspend, restrict, or terminate access to the Service at any time, with or without notice, for violations of these Terms, suspected misuse, security risks, nonpayment, unlawful activity, or conduct that may harm the Service, other users, or third parties.

We also reserve the right to restrict, modify, pause, or discontinue features, tools, integrations, or the Service as a whole at our discretion, subject to applicable law.

17. Limitation of Liability

To the maximum extent permitted by California law, SHBE Strategist™, Side Hustles Build Empires, its owners, operators, affiliates, contractors, service providers, and licensors shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes, without limitation, lost profits, lost revenue, lost business opportunities, loss of data, reputational harm, business interruption, or damages resulting from reliance on Service outputs.

To the maximum extent permitted by law, total liability shall not exceed the amount paid by you to the Service in the twelve (12) months preceding the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless SHBE Strategist™, Side Hustles Build Empires, its owners, operators, affiliates, contractors, service providers, and licensors from any claims, damages, losses, liabilities, legal fees, and expenses arising from your use of the Service, your User Content, your business activities, your violation of these Terms, or your violation of any law or third-party right.

19. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will reflect the latest version. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

20. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any legal action must be brought exclusively in courts located within California, unless applicable law requires otherwise.
